General Terms and Conditions

1. Purpose and Scope
   1.1 Company Role
   No To The Man Brands LLC ("NTTMB," "Holding Company," "we," or "us") is a Massachusetts limited liability company organized solely as a holding company. NTTMB does not itself offer, provide, or sell any products or services to customers.
   1.2 Subsidiary Relationships
   All references to goods or services in NTTMB's communications or marketing materials pertain exclusively to those offered by NTTMB's subsidiary or affiliate entities ("Subsidiaries").
   
   

2. No Direct Services
   2.1 Independent Entities
   Each Subsidiary is a separate legal entity, independently owned and operated (as applicable). NTTMB does not control the day-to-day operations, policies, or offerings of its Subsidiaries.
   2.2 Separate Agreements
   If you engage or transact with any Subsidiary for products or services, you acknowledge that you are entering into a direct contractual relationship solely with that Subsidiary. Such engagement is governed by the Subsidiary's own terms, conditions, and policies.
   2.3 Liability Disclaimer
   NTTMB shall not be responsible or liable for the conduct, actions, or omissions of any Subsidiary. Any claims, disputes, or losses related to a Subsidiary's offerings must be addressed directly with that Subsidiary.
   
   

3. Disclaimer of Warranties
   3.1 Informational Purposes Only
   Any information provided by NTTMB regarding its Subsidiaries is for general informational purposes only and does not constitute a warranty or endorsement.
   3.2 No Representation
   NTTMB makes no representations or warranties regarding the suitability, quality, or availability of any products or services offered by its Subsidiaries.
   
   

4. Limitation of Liability
   4.1 Exclusion of Damages
   To the maximum extent permitted by applicable law, NTTMB and its officers, directors, employees, agents, and members shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or related to any dealings you have with a Subsidiary.
   4.2 No Vicarious Liability
   NTTMB disclaims any responsibility for the actions or omissions of its Subsidiaries. All liability for products or services lies solely with the Subsidiary providing them.
   
   

5. Indemnification
   You agree to indemnify, defend, and hold harmless NTTMB, its directors, officers, employees, agents, and members from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with your dealings with any Subsidiary or your breach of these Terms.
   
   

6. Governing Law and Dispute Resolution
   6.1 Governing Law
   These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles.
   6.2 Forum
   Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in the Commonwealth of Massachusetts. You consent to the personal jurisdiction of such courts.
   
   

7. Changes to These Terms
   NTTMB reserves the right to update or modify these Terms at any time. Any revisions will become effective upon posting on NTTMB's official channels or upon other public notice. Your continued association with NTTMB or any Subsidiary after any changes become effective constitutes acceptance of those changes.
   
   

8. Severability
   If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
   
   

9. Entire Agreement
   These Terms constitute the entire agreement between you and NTTMB regarding your relationship with NTTMB as a holding company. They supersede any prior or contemporaneous understandings, communications, or agreements.

By referencing or otherwise acknowledging these General Terms and Conditions, you confirm that you understand NTTMB does not provide any direct services or products, and any engagement you undertake is solely with the relevant Subsidiary.
